Amodei also thought he’d caught Altman misrepresenting his negotiations with Microsoft for a new, $1 billion investment; Altman told Amodei that Microsoft had rejected certain safety-related provisions of the deal that Amodei had wanted to include. One of these provisions was about OpenAI’s so-called merge-and-assist clause—a line in OpenAI’s charter, which Amodei had written, that committed OpenAI to stop competing with, and start assisting with, any “value-aligned, safety-conscious” project that “comes close to building AGI before we do.” During the Microsoft negotiations, Amodei had insisted that Microsoft shouldn’t be able to veto an acquisition of OpenAI—the most likely way that a merge-and-assist would be enacted—but Altman had told him that Microsoft wouldn’t agree to the term. Amodei believed that Altman had been so eager to get the deal done that he conceded the provision (or never asked for it in the first place), then lied to him about it.
